These Terms of Service (“Terms”) govern your access to and use of Ogivva’s websites, applications, and services (the “Services”). By creating an account or using the Services, you agree to these Terms.

Eligibility

You must be at least the age of majority in your jurisdiction and capable of forming a binding contract to use the Services. By using the Services, you represent and warrant that you meet these requirements.

Your Account

• You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.
• You must provide accurate and complete information and keep it up to date.
• We may suspend or terminate your account for violations of these Terms or applicable law.

User Roles and Interactions

• Gifters/Receivers: May send or receive gifts, manage wallets, and interact with vendors as permitted by the platform.
• Vendors: Are responsible for product listings, pricing, quality, and timely fulfillment of orders received via the platform.
• Prohibited Activities: No unlawful, fraudulent, infringing, misleading, or abusive conduct; no interference with the Services or other users.

Orders, Payments, and Wallet

• Prices, taxes, fees, and availability are subject to change. You authorize us and our payment partners to charge your selected payment method.
• Wallet balances, top-ups, refunds, and chargebacks are handled pursuant to our policies and applicable law. Some funds may be unavailable during verification or dispute resolution.
• Disputes with vendors should be reported promptly. We may facilitate resolution but do not guarantee outcomes.

User Content

• You retain ownership of content you submit. You grant Ogivva a worldwide, non-exclusive, royalty-free license to host, store, display, and use your content to provide and improve the Services.
• You represent that you have the rights necessary to submit content and that your content does not violate any laws or third-party rights.

Third-Party Services

The Services may link to or integrate with third-party services (e.g., payment providers, analytics, social platforms). We are not responsible for third-party services or their terms and policies.

Privacy

Your use of the Services is also subject to our Privacy Policy, which explains how we collect and use your information.

Intellectual Property

The Services, including text, graphics, logos, and software, are owned by or licensed to Ogivva and protected by intellectual property laws. Except as expressly permitted, you may not use our IP without prior written permission.

Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OGIVVA AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID, IF ANY, TO OGIVVA IN THE 12 MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to indemnify and hold harmless Ogivva and its affiliates, officers, agents, and employees from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your use of the Services or your violation of these Terms.

Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including if we reasonably believe you have violated these Terms. Upon termination, your right to use the Services will immediately cease.

Governing Law and Dispute Resolution

These Terms are governed by the laws of NIGERIA, without regard to conflict of laws principles. Any disputes arising out of or relating to these Terms or the Services will be resolved exclusively in the courts located in NIGERIA, FCT, and you consent to their jurisdiction.

Changes to these Terms

We may update these Terms from time to time. We will post the updated Terms with a new effective date. Your continued use of the Services after the update constitutes acceptance.
